General Terms and Conditions (GTC) of ZET-CHEMIE GmbH

1. Scope / Applicable law

The following General Terms and Conditions in the version valid at the time of the order shall apply exclusively to the business relationship between us, ZET-CHEMIE GmbH, and you, including all resulting mutual claims. We do not recognize any deviating terms and conditions unless we have expressly agreed to them in writing in individual cases.

These Terms and Conditions and the entire business relationship between us and you are governed by the laws of the Federal Republic of Germany. The provisions of the UN Convention on Contracts for the International Sale of Goods do not apply.

3. Conditions of order/purchase

ZET-CHEMIE GmbH concludes contracts with customers who

a) are natural persons of full legal age; with your order you confirm that you are of full legal age,

b) authorities are,
c) are domestic legal persons.

4. Buyer’s information obligations

The buyer undertakes to provide only truthful information when placing an order. The buyer must notify us immediately of any changes to data important for the business relationship, in particular name, contact details, and delivery address. If data provided by the buyer proves to be incorrect or outdated, we reserve the right to withdraw from previously concluded contracts and to close the customer account.

The buyer guarantees that the address provided by him can be reached.

5. Confirmation of receipt and order confirmation

Our offers are subject to change and non-binding. The purchase contract is concluded when we accept your order by delivering the goods or by notifying you of delivery. You waive the receipt of an express declaration of acceptance, Section 151 Paragraph 1 of the German Civil Code (BGB).

6. Revocation

The purchaser may cancel the contract in writing within two weeks of receiving the goods. Timely dispatch of the cancellation notice is sufficient to meet the cancellation period. The buyer shall bear the return shipping costs. The costs for bringing the goods into service and other services commissioned by the purchaser in connection with the goods will not be reimbursed in the event of cancellation. Please note that ZET-CHEMIE GmbH may retain any depreciation of value resulting from the use of the goods. The provisions of this paragraph do not apply if the delivered goods do not correspond to the ordered goods or are defective.

7. delivery

Unless otherwise agreed, delivery will be made from the ZET-CHEMIE GmbH warehouse to the delivery address specified by the customer. Information regarding delivery times is non-binding unless, in exceptional cases, a binding delivery date has been promised.

If ZET-CHEMIE GmbH is unable to deliver the ordered goods through no fault of its own because ZET-CHEMIE GmbH's supplier fails to fulfill its contractual obligations, ZET-CHEMIE GmbH is entitled to withdraw from the contract with the customer. In this case, the customer will be informed immediately that the ordered product is not available. The customer's statutory rights remain unaffected.

If delivery to the customer is not possible because the delivered goods do not fit through the customer's entrance door, front door or staircase, or because the customer cannot be found at the delivery address provided by him, even though the delivery time was announced to the customer with a reasonable period of time, the customer shall bear the costs for the unsuccessful delivery.

Information regarding percentages or mixing ratios of the products we supply are to be considered only approximate averages. Deviations within the possible error limits in each individual case, which are unavoidable despite all due care in the manufacture of the goods and the determination of the values, are expressly reserved.

We provide technical advice based on our research and experience to the best of our knowledge. However, all information and details regarding the suitability and application of the products we sell are non-binding and do not exempt the purchaser from conducting their own tests and trials.

8. Prices, payment

The prices valid on the date of your order or according to the details of a valid offer at the time apply. All prices quoted in euros are subject to German sales tax (VAT). Payment on account is only possible if the delivery address and billing address are available to us. We reserve the right to specify other payment methods (e.g., advance payment, cash check). The invoice amount is due upon receipt of the invoice.

The customer is not entitled to offset or withhold payment unless the counterclaims are not disputed by us or have been legally established.

9. Retention of Title

The delivered goods remain the property of ZET-CHEMIE GmbH until full payment has been made. If the purchaser resells the goods before full payment, his claims against the third party purchaser shall be deemed assigned to ZET-CHEMIE GmbH.

10. Warranty

The customer must inspect the delivery item immediately and report any defects in writing without delay, but no later than 7 working days after receipt of the goods at the destination; otherwise, the delivery item shall be deemed to have been accepted as free of defects.

The limitation period for all claims for defects, including claims for damages pursuant to Section 11, is 12 months and begins upon delivery of the goods. Otherwise, the statutory provisions apply.

11. Liability

Claims for compensation for direct and indirect damages, including incidental and consequential damages, are excluded – regardless of the legal basis. This does not affect the customer's claims if:

  • ZET-CHEMIE GmbH has fraudulently concealed a legal or material defect or has provided a guarantee for the quality of the delivery item,
  • the damage is due to intent or gross negligence,
  • a culpable breach of duty by ZET-CHEMIE GmbH has led to physical injury or damage to health,
  • ZET-CHEMIE GmbH is subject to non-negotiable liability (Product Liability Act) for other reasons or
  • the damage is based on a negligent breach of essential contractual obligations by ZET-CHEMIE GmbH. In the case of a simple negligent breach of such obligations, however, the liability for compensation is limited to the foreseeable damage typical for the contract.

To the extent that the liability of ZET-CHEMIE GmbH is excluded or limited, this also applies to the personal liability of employees, representatives and vicarious agents.

Privacy Policy

When you contact us, we collect, process and use personal data in accordance with the Federal Data Protection Act and the Teleservices Data Act, insofar as this is necessary for our business relationship, in particular to process your order and maintain the customer relationship.

Your data will only be passed on to the delivery service commissioned with the delivery in each individual case, and only to the extent necessary in order to be able to deliver your order.

Apart from obligations to disclose data under existing laws, no disclosure to third parties will take place.

Pursuant to Section 34 of the Federal Data Protection Act (BDSG), you have the right to request information free of charge about the data stored about you, including information about the origin of this data, the recipients or categories of recipients to whom the data is disclosed, and the purpose of the storage. Furthermore, you have the right to correct, delete, and block your personal data under the legal requirements of Section 35 BDSG.

13. jurisdiction

The place of jurisdiction for all claims arising from our business relationship, to the extent permissible, is Ulm/Donau.

14. Severance clause

Should one or more provisions of this agreement be legally invalid in whole or in part or subsequently lose their legal validity, this shall not affect the validity of the remaining provisions of the agreement. In such a case, the parties undertake to replace the invalid provision with a valid provision that most closely approximates the purpose intended by the invalid provision. The same applies if the agreement contains a regulatory gap that was not intended by the parties.
